• You are responsible for maintaining the security of your account
• You must be 18 years or older to use our services
• You are responsible for all activity under your account
• You must notify us immediately of any unauthorized use

Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Send spam or unauthorized communications
• Upload malicious code or interfere with our services
• Use our services to harm or deceive others
• Scrape or collect data without authorization
• Exceed usage limits or circumvent restrictions

Data Processing

• You retain ownership of your data
• You grant us a license to process your data to provide our services
• You are responsible for obtaining necessary consents for data you upload
• You must comply with applicable data protection laws
• We act as a data processor for event attendee data you provide

Payment Terms

• Paid plans are billed monthly or annually in advance
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• You're responsible for applicable taxes
• Failure to pay may result in service suspension

Intellectual Property

Spivot and its licensors retain all rights to our services, including our platform, technology, and content. You retain ownership of your data and content. You grant us a limited license to use your content as necessary to provide our services.

Publicity Rights

We may use your company name, logo, and marks to identify you as a user of Spivot on our website, marketing materials, and presentations. This permission applies whether you use a free or paid plan.

You may revoke this permission at any time by emailing us at info@spivot.ai, and we will remove your name and logo within a reasonable period.

We will not state or imply any endorsement or partnership beyond identifying you as a user of our services.

Service Availability

We strive for high availability but don't guarantee uninterrupted service. We may modify, suspend, or discontinue services at any time. We'll provide reasonable notice for significant changes when possible.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIVOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Indemnification

You agree to indemnify and hold Spivot harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these terms.

Termination

Either party may terminate this agreement at any time. Upon termination, your right to use our services will immediately cease. We may retain certain data as required by law or for legitimate business purposes.

Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.

Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or through our services. Your continued use after changes constitutes acceptance of the new terms.
